- Pricing
All Unit pricing or fees are quoted in S A currency inclusive of VAT. Should there be any changes to statutory duties, surcharges, VAT, etc., these will be for the account of the Customer.
Terms of Payment
Line and PBX Rental due on order via EFT with PoP
- Prepaid services 100% payment due via EFT.
- Rental agreements are subject to credit approval
- Overdue payments will be subject to interest charged on all arrear and overdue amounts at prime plus 2%
Ø No payment to be withheld due to third party responsibilities
Installation
Installation charges are calculated on the assumption of uninterrupted work proceeding during normal working hours.
Earthing
Building Earth must be extended to the PABX equipment room and connected to an insulated copper strip, 300mm x 30mm x 8mm provided with 3 holes of 9mm diameter.
- New Building: Measured to an underground star point must not
exceed 3 ohms resistance and to be agreed upon before equipment
- Existing Building: Customer must have earth tested to comply with
the International Standard as indicated above.
- Hardware and Software
No information whatsoever pertaining to any hardware or software of the PABX system may be divulged to any third party, in writing and officially, without prior consent of iC3 and shall not be unreasonably withheld.
Permit
This quotation is based on the assumption that the necessary import permits and export approvals are obtained for components to be imported without any negligence on the part of iC3.
Damages
IC3 will not accept any claims for any consequential damages owing from any reason whatsoever.
- Validity
Quotation valid for period as indicated on Quotation Schedule unless otherwise requested by Customer. Should exchange rates differ from the rates quoted after the validity date then the quoted prices will be adjusted accordingly.
- Ownership
Notwithstanding delivery, all goods sold or rented by the seller to the purchaser, shall remain the sole property of the seller until the seller has received payment in full.
Acceptance of Order
Should the Quotation result in an Order, acceptance of such order is subject to Credit Approval and confirmation by iC3.
- Force Majeure
Neither party shall be considered to be in default or in breach of its obligations under the contract to the extent that performance of such obligations is prevented by a circumstance of Force Majeure which may arise after the date of acceptance or of the date when the contract becomes effective, whichever is earlier.
Force Majeure is defined as any circumstance beyond the control of the parties, including, but not limited to:
- War and other hostilities (whether war declared or not), invasion, acts
of foreign enemies, mobilisation, fire, floods, lockouts, strikes,
requisitions and embargoes.
- Ionising, radiation or contamination by radioactivity from any nuclear
waste, from the combustion of nuclear fuel, radioactive toxic explosives
or hazardous properties of any explosive nuclear assembly or nuclear
components thereof
- Any act of God, such as lightning, etc.
- Risks
The risk of loss or damage to the equipment will pass to the Purchaser on the date of delivery of the equipment to the purchaser’s designated premises, which date is as per signed delivery note or as agreed upon in writing by the Purchaser’s authorised representative.
- Delivery
Up to 7 days from date of official order subject to Credit Approval,
Payment Terms and Telkom District Authorisation.
- Cancellation
A 90 day written notice is required for Cancellation of Rental contract

An amount of 12.5% of the total order value will be charged to the customer.
- General
Please note that you are not covered for any damage caused by Force Majeure during your guarantee period of 12 months or subsequent
Service Level Agreement. We strongly recommend Insurance Cover.
IC3 will not take any responsibility for any system or external peripherals not normally sold and serviced by iC3, any such equipment, before agreement can be reached, must be tested and a letter of approval supplied by the external vendor, in order for iC3’s equipment guarantee to be valid.
IC3 cannot be held responsible for delays for services supplied by Telkom and/or third parties.
Unless stated otherwise, the document “Commercial Terms and Conditions of Sale for Impilo Communications ” shall apply.
